Lawyers are increasingly using AI tools to help them put together a first draft of documents, including an SPA. Whilst this is incredibly helpful, it means that, going forward, a junior lawyer may miss the traditional step of putting together their first draft SPA and considering all the parts of the document that they may need to add (and why). Previously, lawyers would refer to bolt-on supplements to add to their draft SPA (for example, conditionality, multiple sellers or consideration adjustment mechanisms). Orignally this addition was done manually (by cut and pasting parts of a bolt-on document into the main SPA) which helped to cement a lawyer's understanding of what the key provisions relating to e.g. a locked box mechanism were. Where this process is automated, trainees and junior lawyers need an alternative way to secure this knowledge.
This training tool is designed to be a fun, interactive game which takes the lawyer through the steps that they would have tradiitonally taken to build their SPA. It is designed to sit alongside more formal training on a firm's standard SPA. It is a prototype and not yet fully developed but shows the overall approach. It is loosely designed around building a house with parts added as the player moves through the game. The player works through the modules - starting with an understanding of the core blocks and then "building" their SPA as required in each subsequent module. Higher modules (not yet included) would then start to test drafting skills once the structural elements are secure.
The intention is that this will put a junior lawyer in a better position to critcally analyse an automated or AI-generated draft SPA as they will have a better understanding of what to expect for the structure of the deal. They will understand which parts might need to change if they need to restructure their SPA and will also be in a better position to negotiate the SPA in due course (as they have a secure understanding of how the provisions interact).
